1. Acceptance of Terms
By accessing or using the website and services provided by Unyrise Technologies ("we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.
These Terms apply to all visitors, clients, and others who access our website or engage our services.
2. Description of Services
Unyrise Technologies provides software development services, including but not limited to web development, mobile application development, desktop software development, and SaaS products such as Hostel Ease. We reserve the right to modify, suspend, or discontinue any service at any time. Where such modifications materially affect an ongoing engagement, we will provide reasonable notice.
3. Client Responsibilities
- You agree to provide accurate, complete, and timely information required for us to deliver services.
- You must not use our services for any unlawful purpose or in violation of any applicable laws.
- You are responsible for maintaining the confidentiality of any account credentials.
- You must not attempt to interfere with the proper functioning of our services or systems.
- You are responsible for obtaining any third-party licenses, rights, or permissions required for deliverables (e.g., stock photos, third-party APIs).
- Timely feedback and approvals are the client's responsibility. Delays caused by the client may affect project timelines.
4. Intellectual Property
Pre-existing IP: All pre-existing code, frameworks, libraries, tools, and methodologies developed by Unyrise Technologies prior to or independently of your engagement remain the exclusive property of Unyrise Technologies.
Project Deliverables: Upon receipt of full and final payment, Unyrise Technologies assigns to the client all rights, title, and interest in the bespoke deliverables created specifically for that client under the applicable project agreement, except for any pre-existing IP incorporated therein (for which a non-exclusive license is granted).
IP Retention Before Full Payment: Until full payment is received, all deliverables, source code, and work product remain the property of Unyrise Technologies. We reserve the right to withhold delivery of final files until all outstanding invoices are settled.
Portfolio Rights: Unless otherwise agreed in writing, Unyrise Technologies reserves the right to display completed work in our portfolio, marketing materials, and case studies.
All content on our website (text, code, graphics, logos) is the property of Unyrise Technologies and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
5. Payment Terms
Unless otherwise stated in a separate project agreement or Statement of Work (SOW):
- Project Retainer: A non-refundable deposit of 30–50% of the total project value is due before work commences.
- Milestone Payments: Remaining amounts are due upon completion of agreed milestones as outlined in the SOW.
- Invoice Due Date: All invoices are due within 14 calendar days of issuance, unless otherwise agreed in writing.
- Late Payment: Overdue invoices may incur a late payment fee of 2% per month on the outstanding balance. We reserve the right to suspend active work until payment is received.
- Currency: Invoices are issued in the currency agreed upon in the project proposal (INR, USD, GBP, or AUD). Clients are responsible for any bank transfer fees or currency conversion charges.
6. Confidentiality
Both parties agree to maintain confidentiality of all non-public information shared during the course of an engagement ("Confidential Information"), including but not limited to business strategies, technical specifications, source code, pricing, and client data.
- Confidential Information shall not be disclosed to any third party without prior written consent.
- This obligation survives the termination of any project or service agreement for a period of 3 years.
- Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Warranty Disclaimer
Our services are provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- That our services will be error-free, uninterrupted, or free from harmful components.
- That third-party integrations, APIs, or services used in deliverables will remain available or functional.
Post-delivery support and bug fixes are governed by the specific warranty period (typically 30 days) agreed in the project SOW. After this period, continued support is available under a separate retainer or support contract.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Unyrise Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our services or website, including but not limited to loss of profits, loss of data, or business interruption.
Our total aggregate liability to you for any claim arising out of or relating to our services shall not exceed the total amount paid by you to Unyrise Technologies in the three (3) months immediately preceding the event giving rise to the claim.
9. Non-Solicitation
During and for a period of 12 months following the completion of any project engagement, the client agrees not to directly solicit, recruit, or hire any employee, contractor, or consultant of Unyrise Technologies who was involved in the client's project, without obtaining prior written consent from Unyrise Technologies.
10. Force Majeure
Unyrise Technologies shall not be in breach of these Terms, nor liable for any delay or failure to perform any obligation, if such delay or failure results from events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government restrictions, internet outages, or third-party service failures.
In such circumstances, we will notify you promptly and work to resume services as soon as reasonably practicable.
11. Termination
Either party may terminate a project engagement by providing 14 days' written notice. In the event of termination:
- All work completed to date will be invoiced and is payable within 14 days.
- The initial deposit is non-refundable.
- Work product completed up to the termination date will be delivered upon full payment of outstanding amounts.
- Unyrise Technologies reserves the right to terminate immediately if the client is in breach of these Terms.
12. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Jharkhand, India.
International Clients: For clients based outside India, we are open to agreeing on alternative dispute resolution mechanisms (such as arbitration) on a case-by-case basis. Please discuss this with us before engaging our services.
13. Changes to Terms
We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms. For active project engagements, material changes will be communicated in writing.
